Lessor : BINK lamps, registered in the trade register under Chamber of Commerce number 53803833.
Tenant : The person who enters into a (rental) agreement with the landlord.
Agreement : The service agreement.
Article 1 - GENERAL
1.1 These terms and conditions apply to all offers and quotations from BINK lampen as well as to agreements concluded with tenant (s), insofar as these terms and conditions have not been deviated from in writing.
1.2 If one or more provisions of these general terms and conditions are null and void or should be annulled, the other provisions of these general terms and conditions will remain fully applicable.
1.3 Any deviations from these general terms and conditions are only valid if they have been explicitly agreed in writing.
Article 2 - FORMATION AND CONTENT OF AGREEMENT
2.1 The first quotation issued is mutually without obligation, no rights can be derived from printing errors, typographical errors and mutilated quotations.
2.2 Unless it appears otherwise from the quotation or otherwise agreed, quotations are valid for four weeks from the date stated on the quotation.
2.3 A composite quotation does not oblige BINK lampen to perform part of the assignment against a corresponding part of the stated price.
2.4 Offers and quotations do not automatically apply to future assignments.
Article 3 - AMENDMENT OF THE AGREEMENT
3.1 If during the execution of the agreement it appears that it is necessary for a proper execution to change or supplement the work to be performed, the parties will adjust the agreement in time and in consultation.
3.2 If the change and / or supplement to the agreement will have financial and / or qualitative consequences, BINK lamps will inform the tenant about this in advance.
3.3 BINK lampen reserves the right to pass on to the tenant legally imposed price increases and unexpected, reasonably necessary higher costs that occur between the order confirmation and its execution. BINK lampen is obliged to notify and explain these price changes to the tenant as soon as possible.
3.4 In addition, BINK lampen may increase the agreed amount on the quotation if it appears during the performance of the work that the originally agreed or expected amount of work was insufficiently estimated at the conclusion of the agreement to such an extent, and is not attributable to BINK lamps, that BINK lampen cannot reasonably be expected to perform the agreed work for the originally agreed amount. In that case, BINK lampen will notify the tenant of the intention to increase the amount. BINK lampen will state the size and date on which the increase will take effect.
Article 4 - LEGIMATION AND DEPOSIT
4.1 When collecting or receiving the rented property, the tenant must provide proof of identity by means of legal identification at the request of the lessor. The deposit is € 100 or € 250. The deposit is also a down payment on the rent and is settled with the final invoice when the tenant has fulfilled all his obligations.
Article 5- LIABILITY
5.1 The tenant is liable for loss, theft, damage to the rented materials during the entire rental period and will have to pay for the rented, parts and / or accessories thereof at replacement values. Any repair costs will also be charged to the tenant.
5.2 The lessor can never be held liable for any direct and / or indirect damage suffered by the tenant, including consequential damage, immaterial damage, business or environmental damage.
Article 6 - OBLIGATIONS OF THE TENANT
6.1 The tenant is obliged to use the rented object in accordance with the provisions of the General (rental) conditions and any company regulations and thereby:
6.2 to provide the lessor with access to the rented property at all times.
6.3 to reject third-party claims against the rented property and to indemnify the lessor thereof.
6.4 Subletting and making available to third parties only take place with the written consent of the lessor.
6.5 The tenant is expected to check for defects in normal functioning immediately after receipt of the rented property.
Article 7 - PAYMENT
7.1 The tenant will receive an invoice within 14 days after the rental date. This amount must be paid within 14 days after the invoice date. Any objections to the amount of the invoices do not suspend the payment obligation for the uncontested part of the invoice.
7.2 The tenant who does not pay on time is in default by operation of law, without further notice of default being required. BINK lampen is entitled to claim additional compensation for all costs already incurred in respect of the agreement and has the authority to charge statutory interest, to be calculated from the day the default commences until the day of payment.
Article 8 - TERMINATION OR CANCELLATION OF THE AGREEMENT
8.1 BINK lampen has the right to terminate / refuse an agreement if, in its opinion, the content may harm the interests and / or good name of its company.
8.2 If the agreement is dissolved, the claims of BINK lamps on the tenant are immediately due and payable. If BINK lampen suspends the fulfillment of the obligations, it will retain its rights under the law and agreement.
8.3 If the tenant cancels an agreement in whole or in part, the costs incurred by BINK lampen as a result of this cancellation will be fully reimbursed by the tenant. The cancellation costs are 30% of the total sum of the order in case of cancellation up to 4 weeks before delivery, or 50% of the sum of the order in case of cancellation 1 to 4 weeks before delivery, or 70% of the sum of the order at cancellation in the last week before delivery.
8.6 If the agreement is terminated prematurely by BINK lampen, the lessor will, in consultation with the tenant, ensure that the work still to be performed is transferred to third parties, unless the termination is based on facts and circumstances that are attributable to the tenant. 8.7 At the end of the agreement, the rented object must be made available to the lessor in the same condition as it was provided and cleaned. Possible cleaning costs are € 30 per hour.
Article 9 - APPLICABLE LAW
Dutch law applies to every agreement between the user and the tenant.
